1. Scope and Applicability

1.1 These General Terms and Conditions (“GTC”) govern access to and use of the Y.ZONE platform, as well as any general interactions, communications, and preliminary collaborations between FyrstGen Holding Ltd (“FyrstGen”, “we”, “us”) and any user, registrant, partner, contributor, or counterparty (“User”).

1.2 These GTC apply to all Users upon registration, access, or use of the Y.ZONE platform.

1.3 These GTC establish the general legal framework governing platform access and baseline obligations.
Certain activities, roles, or levels of access may require additional, role-specific agreements.
The confidentiality, non-use, and intellectual property protection obligations applicable to all Users are set out in Section 3 of these GTC and constitute a binding non-disclosure agreement between FyrstGen and each User.

1.4 In the event of any conflict between these GTC and any role-specific agreement, the role-specific agreement shall prevail, except with respect to confidentiality and intellectual property protection, which shall remain governed by these GTC.

2. Registration, Access and Platform Participation

2.1 Registration on Y.ZONE grants general platform access only.

2.2 Where a User seeks to act, apply, or be onboarded as, including but not limited to:
• an Innovator,
• an Academic Partner,
• an Academic Board Member,
• an Innovation Partner,
• an Investor, or
• an Ambassador,

access to restricted areas, materials, or functionalities may be granted subject to role-specific conditions and eligibility requirements.

2.3 No contractual relationship beyond general platform access shall arise solely from registration on or use of the platform.

2.4 Access to certain areas of the Y.ZONE platform, including investor-specific sections, may be subject to eligibility criteria, qualification requirements, and minimum participation thresholds, as determined by FyrstGen.
Users who fail to meet such criteria within any applicable onboarding or probationary period may have their access restricted or terminated without further obligation.

3. Confidentiality and Protection of Intellectual Property

3.1 Each User agrees to treat as confidential any non-public, proprietary, sensitive, or protected information disclosed through the Y.ZONE platform, including but not limited to academic research, innovation concepts, business models, technical documentation, data sets, methodologies, and intellectual property (“Confidential Information”).

3.2 Confidential Information may be accessed and used solely for platform-related evaluation, collaboration assessment, or participation in authorised programmes, and for no other purpose.

3.3 Users shall not:
• copy, extract, reverse-engineer, commercialise, or exploit Confidential Information;
• use Confidential Information for competitive purposes;
• use Confidential Information outside the scope of their authorised role on the platform.

3.4 Users accessing the platform as Investors acknowledge and agree that:
• access to information does not grant any ownership, licence, or usage rights to intellectual property;
• Confidential Information may not be used to replicate, develop, or pursue competing projects independently;
• any misuse of intellectual property or confidential data constitutes a material breach and may result in immediate removal from the platform, exclusion from future participation, and legal action.

3.5 Confidential Information does not include information that:
• is or becomes publicly available without breach;
• was lawfully known prior to disclosure;
• is independently developed without reference to Confidential Information; or
• must be disclosed by law or court order, subject to lawful notice.

4. Integrity, Conduct and Platform Use

4.1 Users shall act in good faith, professionally, and in accordance with principles of honesty, transparency, and trust.

4.2 Any misuse of the platform, misrepresentation, or breach of trust may result in immediate suspension or termination of access.

5. Intellectual Property

5.1 All intellectual property relating to the Y.ZONE platform, including methodologies, processes, documentation, content, and branding, remains the exclusive property of FyrstGen or its licensors.

5.2 Nothing in these GTC grants any licence, assignment, or transfer of intellectual property rights to Users.

6. Invoicing and Payment

6.1 Registration for and general access to the Y.ZONE platform is free of charge.

6.2 Any invoicing or payment obligations shall apply only where services, programmes, modules, advisory engagements, or other offerings are expressly agreed as chargeable in writing under a separate agreement.

6.3 No payment obligation shall arise solely from registration on or use of the Y.ZONE platform.

6.4 Where a User accesses the Y.ZONE platform in the role of an Investor, continued access to investor-specific areas of the platform is conditional upon a minimum investment participation of GBP 500,000 within the first three (3) months following activation on Y.ZONE.

This participation requirement relates solely to platform access and participation status and does not constitute an obligation by FyrstGen to accept any investment, nor does it replace or amend any separate investment documentation.

Failure to meet this requirement may result in restricted access or termination of investor-specific platform access.

All confidentiality and intellectual property obligations under these GTC remain fully applicable irrespective of such restriction or termination.

7. Termination

7.1 FyrstGen may suspend or terminate a User’s access to Y.ZONE at any time where:
• these GTC are breached;
• platform misuse occurs; or
• continued access poses legal, operational, or reputational risk.

7.2 Termination of access does not affect obligations which by their nature survive termination, including confidentiality and intellectual property provisions.

8. Liability

8.1 To the maximum extent permitted by law, FyrstGen shall not be liable for any indirect, consequential, or economic loss arising from use of the platform.

8.2 Nothing in these GTC limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

9. Data Protection

9.1 Each party shall comply with the UK GDPR and the Data Protection Act 2018.

9.2 Personal data shall be processed only for legitimate platform-related purposes and in accordance with applicable law.

10. Force Majeure

Neither party shall be liable for failure or delay caused by events beyond reasonable control.

11. Governing Law and Jurisdiction

These GTC are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.

12. Miscellaneous

12.1 These GTC may be updated from time to time. Continued use of the platform constitutes acceptance of the updated version.

12.2 If any provision is held invalid, the remaining provisions shall remain in full force and effect.

12.3 These GTC constitute the entire agreement governing general platform access.
